Service Agreement

The working agreement between Proof & Feed and a subscribing business: what we produce, what you provide, how approval works, and how the engagement runs month to month.

Last updated: September 14, 2026

1. Parties and scope

This Service Agreement applies between Proof & Feed and the business that purchases a Proof & Feed plan (“Client”). It works together with our Terms of Service, Refund & Cancellation Policy, and Privacy Policy. Where they conflict, this agreement controls for the specific engagement.

2. Services provided

Proof & Feed is a marketing and content-creation service. Working from photos, video, and business information the Client submits, we provide:

  • Review and selection of submitted material, including a Proof Score™ assessment.
  • Photo enhancement — cropping, lighting, colour, sharpness, and clean-up. We do not fabricate or stage results that did not occur.
  • Branded social-media graphics and finished content pieces.
  • Short-form reels assembled from the Client’s own photos and clips.
  • Captions, headlines, and calls to action written in the Client’s voice.
  • Simple monthly content plans and campaign sequencing.
  • Scheduling of approved content to the Client’s authorised accounts.
  • Accuracy review under our Trust Filter™, plus a Monthly Proof Report™ summarising what was submitted, produced, published, and held back.

3. Deliverables and volume

Under the Founding Membership at $299 per month, monthly deliverables are 12 finished content pieces, up to 4 short-form reels, scheduling of approved content to Facebook and Instagram, the Proof Vault™, the Monthly Proof Report™, and one reasonable revision per piece. Volume is per billing month and does not roll over unless we agree in writing. Work outside this scope is quoted separately and only starts after written approval.

4. Client responsibilities

  • Submit enough usable material each month — genuine photos or clips of work actually performed — for us to produce the agreed volume.
  • Provide accurate business details: services, hours, locations, prices, and offers.
  • Confirm rights and permissions for everything submitted, including permission from identifiable people and property owners.
  • Name a single point of contact with authority to approve content.
  • Review drafts and respond with approval or revisions within five business days.
  • Provide account access or connections needed for scheduling, if used.
  • Keep fees current while the subscription is active.

5. Production cycle

A typical cycle: Client submits material → we review and score it → we enhance images and draft copy → the work passes an internal accuracy check → drafts go to the Client for approval → approved pieces are scheduled or delivered → the month closes with a Monthly Proof Report™. We aim to acknowledge submissions within two business days and return the free 5-Photo Proof Test sample within about five business days. Timelines are targets that depend on the flow of material and approvals, not fixed deadlines.

6. Approval and publishing authorisation

The Client authorises publishing. Each piece is either approved individually before release, or covered by written standing authorisation for defined content categories and named accounts. Proof & Feed does not auto-approve, and will hold anything it cannot verify against the Client’s own material. Final responsibility for the accuracy of claims, prices, hours, and offers rests with the Client.

7. Revisions

Each finished piece includes one reasonable revision — wording, detail, emphasis, or timing. Revisions that change the concept, require new source material, or arrive after a piece has been published are treated as new work and may be quoted separately or counted against the next month’s volume.

8. Content rights

The Client retains ownership of all submitted material and grants Proof & Feed a non-exclusive licence to store, edit, adapt, and use it to produce and publish approved deliverables. On payment, the Client owns the finished deliverables. Proof & Feed retains its methods, templates, tooling, and brand assets, and will only feature the Client in portfolio or marketing material with written permission.

9. AI-assisted production

Parts of production are AI-assisted — enhancement, drafting, organisation, and quality checks. Customer-submitted material and information remain the sole basis of every deliverable, and a person reviews the work before it reaches the Client. Enhance the proof; never invent the proof.

10. Fees and billing

The membership fee is $299 per month, billed in advance and recurring monthly through our third-party payment processor until cancelled. Fees are not contingent on results. Failed or declined payments may pause production until resolved.

11. Term, cancellation, and termination

The engagement runs month to month with no long-term contract. Either side may end it effective at the close of the current billing period. Cancellation mechanics and refund eligibility are set out in the Refund & Cancellation Policy. On termination we stop new production and scheduling; the Client keeps everything already delivered and can request a copy of their submitted material.

12. Confidentiality

Each side will keep the other’s non-public business information confidential and use it only to perform this agreement.

13. No guarantee of results

Proof & Feed produces content and marketing materials. We do not guarantee leads, sales, bookings, followers, engagement, rankings, or any other business outcome, and we will not publish a claim the Client’s own proof does not support.

14. Liability and governing law

The limitation of liability, indemnity, and governing-law terms in the Terms of Service apply to this agreement. It is governed by the laws of the State of California, United States. Any legal action must be brought in Sacramento County, California.
